Terms of Service

Version 2026-10-30-draft

Draft for legal review. Equiprio is not live, and no bookings or payments are taken yet. This document will be finalized before launch, and you will be asked to accept the final version.

These terms apply to everyone who uses Equiprio: organizers, suppliers and their team members.

1. About Equiprio

Equiprio is an online marketplace operated by Kamboeng Consulting LTD., an Ontario corporation ("Equiprio", "we"). Suppliers list event equipment for rent. Organizers find, compare and book it.

Equiprio is a marketplace only. We are not a rental company, we do not own or supply the equipment, and we are not a party to the rental contract between a supplier and an organizer. We are not an agent, employer, partner or joint venturer of any supplier.

2. Accounts and organizations

  • You must be at least 18 and able to enter a binding contract. If you act for an organization, you confirm you are authorized to bind it.
  • Keep your login secure. You are responsible for activity in your account.
  • Organization owners control who can view, plan and book. Bookings made by a member bind the organization.
  • Give accurate information, including legal names, addresses and tax numbers used on contracts and receipts.

3. Bookings and rental contracts

When a supplier accepts a booking request, or an organizer books an Instant Book listing, a rental contract is formed directly between the supplier and the organizer on the terms shown at checkout. Each supplier in a booking has its own contract. Changes after a contract is formed are made only through a written change in Equiprio.

Suppliers have 24 hours to respond to a request unless a shorter time is shown. If a supplier declines or does not respond, the request expires and no charge is kept for it.

4. Payments and fees

Equiprio acts as the supplier's limited payment collection agent. Paying Equiprio for a booking satisfies the organizer's obligation to pay the supplier for it. Payments are processed and held by our payment processor until the release conditions are met. Held funds earn no interest and may be withheld while a dispute, claim or chargeback is open.

  • Organizers pay a booking fee (currently 3%), shown in every total before booking.
  • Suppliers pay a service fee (currently 10%, or 5% for customers they refer) deducted from the payout. The payout amount is shown before the supplier accepts.
  • Suppliers are paid after delivery is confirmed, or after the confirmation window passes with no issue reported.
  • All payments for bookings that start on Equiprio must go through Equiprio. Arranging payment outside the platform for those bookings is not allowed.
  • We may change fees with at least 30 days' notice. Changes never apply to bookings already made.

5. Cancellations, deposits and refunds

  • Each listing shows its cancellation policy (Flexible, Moderate or Strict) before you book. Refunds follow that policy.
  • If a supplier cancels or does not deliver, the organizer receives a full refund for that supplier's booking.
  • Damage deposits, when a listing requires one, are collected separately and returned after pickup once the claim window (48 hours) closes without a claim.

6. Delivery issues, damage and disputes

Organizers report missing, wrong or damaged equipment before confirming delivery. Suppliers file damage claims with photos within 48 hours of pickup. The affected payout or deposit is held while the issue is reviewed.

The parties first try to resolve disputes in good faith, then through Equiprio's resolution centre, and then, if needed, by mediation in Ontario. Equiprio's decisions in the resolution centre decide how held funds are released; they do not limit any party's legal rights against the other.

7. Supplier responsibilities

  • Listings are accurate, use real photos of the equipment offered, and show no off-platform contact details.
  • Equipment is safe, maintained, and fit for its listed purpose, and is delivered as booked.
  • You hold the insurance Equiprio requires (minimum set before launch) and any permits or inspections your equipment needs.
  • You keep your availability and stock up to date.

8. Organizer responsibilities

  • Provide a safe site with the access, ground conditions and power described in the booking.
  • Obtain permits your event needs, unless the contract says the supplier will.
  • Use equipment as intended and return it in the same condition, normal wear excepted. You are responsible for loss or damage while equipment is in your custody.

9. Verification and reviews

A verified or insured badge means a supplier submitted documents that we reviewed at a point in time. It is not a guarantee of quality, safety or performance.

Reviews must be honest, about a real booking, and free of personal information or abuse. We may remove content that breaks these rules.

10. Disclaimers and limitation of liability

Equiprio does not guarantee the quality, safety, availability or legality of equipment, or the performance of any supplier or organizer.

To the maximum extent permitted by law, Equiprio's total liability to you is limited to the fees you paid to Equiprio in the 12 months before the claim, or $100 if greater, and Equiprio is not liable for indirect or consequential damages. You agree to indemnify Kamboeng Consulting LTD. for claims arising from your events, rentals, content or breach of these terms.

Equiprio is built for organizations. If you book as a consumer, nothing in these terms limits your rights under the Ontario Consumer Protection Act, 2002.

11. Suspension and termination

We may suspend or close accounts that break these terms, put others at risk, or attempt to move bookings off the platform. Obligations from bookings already made continue after an account closes.

12. Changes, law and contact

We will notify you of material changes to these terms and ask you to accept them before you continue using Equiprio. These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Electronic acceptance of these terms and of rental contracts is valid under Ontario's Electronic Commerce Act, 2000.
